Abstract
C o r p o r a t e r e p o r t i n g i n p u b l i s h e d a n n u a l r e p o r t s i s s e v e r e l y c r i t i c i z e d on t h e g r o u n d s o f i n a d e q u a t e d i s c l o s u r e o f p e r t i n e n t i n f o r m a t i o n . W h i l e c r i t i c i s m s a r e f r e q u e n t l y o f f e r e d , t h e y c a n n e i t h e r b e v a l i d a t e d n o r r e f u t e d b e c a u s e o f t h e l a c k o f o b j e c t i v e , u s e r - o r i e n t e d c r i t e r i a f o r d e t e r m i n i n g w h a t c o n s t i t u t e s a d e q u a t e d i s c l o s u r e . A c c o r d i n g l y , t h i s s t u d y h a s t h r e e m a j o r o b j e c t i v e s . The f i r s t o b j e c t i v e i s t o d e v e l o p a c o m p r e h e n s i v e , u s e r - o r i e n t e d d i s c l o s u r e m o d e l a p p l i c a b l e t o t h e p u b l i s h e d a n n u a l r e p o r t s o f l a r g e i n d u s t r i a l c o r p o r a t i o n s . The m o d e l i s d e v e l o p e d b a s e d up o n t h e q u e s t i o n n a i r e r e s p o n s e s o f 275 C h a r t e r e d F i n a n c i a l A n a l y s t s . I t c o n s i s t s o f 79 i n f o r m a t i o n i t e m s t h a t l a r g e i n d u s t r i a l f i r m s s h o u l d d i s c l o s e i n t h e i r a n n u a l r e p o r t s . I n t h e m o d e l , n u m e r i c a l w e i g h t s a r e u s e d t o r e c o g n i z e d i f f e r e n c e s i n i n f o r m a t i o n i m p o r t a n c e . The s e c o n d s t u d y o b j e c t i v e i s t o u s e t h e d i s c l o s u r e m o d e l t o c r i t i c a l l y e x a m i n e t h e c u r r e n t s t a t e o f r e p o r t i n g i n t h e p u b l i s h e d a n n u a l r e p o r t s o f l a r g e i n d u s t r i a l c o r p o r a t i o n s . To a c c o m p l i s h t h i s o b j e c t i v e , a s a m p l e o f 80 c o m p a n i e s r e p r e s e n t i n g 8 i n d u s t r i e s was s e l e c t e d f r o m t h e 1973 F o r t u n e 1 , 0 0 0 u s i n g t h e c l u s t e r s a m p l i n g t e c h n i q u e . Then t h e r e s e a r c h e r e x a m i n e d t h e m o s t r e c e n t p u b l i s h e d a n n u a l r e p o r t a s w e l l a s t h e c o r r e s p o n d i n g 10-K r e p o r t o f e a c h co m p a n y . The a n n u a l r e p o r t s a nd 10 -K s e x a m i n e d c o v e r f i s c a l p e r i o d s e n d i n g f r o m O c t o b e r 3 1 , 1972 t h r o u g h S e p t e m b e r 3 0 , 1 9 7 3 . The p u b l i s h e d a n n u a l r e p o r t o f e a c h company was e x a m i n e d t o d e t e r m i n e t h e e x t e n t t o w h i c h t h e d i s c l o s u r e m o d e l i n f o r m a t i o n was r e v e a l e d t h e r e i n . The 10 -K r e p o r t o f e a c h company was e x a m i n e d t o h e l p i n d e t e r m i n i n g t h e i n f o r m a t i o n i t e m s t h a t w e r e a p p l i c a b l e t o e a c h c om p a n y . E x a m i n i n g t h e 80 a n n u a l r e p o r t s a n d 1 0- Ks l e d t o t h e f i r s t m a i n c o n c l u s i o n o f t h e s t u d y . T h i s c o n c l u s i o n i s t h a t , f r o m t h e s t a n d p o i n t o f common s t o c k i n v e s t o r s who d e s i r e t o make i n f o r m e d i n v e s t m e n t d e c i s i o n s , many i n f o r m a t i o n a l d e f i c i e n c i e s c u r r e n t l y e x i s t i n t h e p u b l i s h e d a n n u a l r e p o r t s o f l a r g e I n d u s t r i a l c o m p a n i e s . The t h i r d m a j o r s t u d y o b j e c t i v e i s t o e x a m i n e t h e i n f l u e n c e o f two v a r i a b l e s i n e x p l a i n i n g a n n u a l r e p o r t d i s c l o s u r e d i f f e r e n c e s b e t w e e n l a r g e i n d u s t r i a l c o r p o r a t i o n s . The v a r i a b l e s c o n s i d e r e d a r e ( 1 ) c o r p o r a t e s i z e a s m e a s u r e d b y n e t s a l e s e x p r e s s e d i n t h o u s a n d s o f d o l l a r s , a n d ( 2 ) t h e i n d u s t r y t o w h i c h a company b e l o n g s . To a c c o m p l i s h t h i s o b j e c t i v e , a n u m e r i c a l m e a s u r e o f e x t e n t o f d i s c l o s u r e ( d i s c l o s u r e s c o r e ) was f i r s t c o m p u t e d f o r e a c h o f t h e 80 c o m p a n i e s i n t h e s a m p l e . The l o w e s t s c o r e t h a t a company c o u l d r e c e i v e i s z e r o a n d t h e h i g h e s t i s o n e - h u n d r e d . The d i s c l o s u r e s c o r e s c o m p u t e d f o r t h e 80 c o m p a n i e s r a n g e f r o m 5 8 . 5 1 t o 2 1 . 7 9 . The mean d i s c l o s u r e s c o r e i s 4 5 . 3 2 , a n d t h e s t a n d a r d d e v i a t i o n i s 7 . 2 0 . U s i n g t h e a n a l y s i s o f c o v a r i a n c e , i t i s f o u n d t h a t 2 8 . 8 3 p e r c e n t o f t h e v a r i a t i o n i n d i s c l o s u r e s c o r e s i s e x p l a i n e d by t h e n e t s a l e s a n d i n d u s t r y v a r i a b l e s . F u r t h e r m o r e , e v i d e n c e o f a s t a t i s t i c a l l y s i g n i f i c a n t r e l a t i o n s h i p b e t w e e n ( 1 ) n e t s a l e s a n d d i s c l o s u r e s c o r e a n d ( 2 ) i n d u s t r y a n d d i s c l o s u r e s c o r e i s f o u n d . The r e g r e s s i o n c o e f f i c i e n t f o r t h e n e t s a l e s v a r i a b l e i s o n l y 0 . 0 0 0 0 0 3 . T h e r e f o r e , t h e s e c o n d m a i n c o n c l u s i o n o f t h e s t u d y i s t h a t t h e r e e x i s t s a p o s i t i v e r e l a t i o n s h i p b e t w e e n c o r p o r a t e s i z e a n d e x t e n t o f d i s c l o s u r e , b u t t h e r e l a t i o n s h i p i s n o t o f m a j o r i m p o r t a n c e . The e i g h t i n d u s t r y mean d i s c l o s u r e s c o r e s a d j u s t e d f o r t h e r e g r e s s i o n o f t h e d i s c l o s u r e s c o r e v a r i a b l e on t h e n e t s a l e s v a r i a b l e w e r e e x a m i n e d . F i v e o f t h e s e means a r e b e t w e e n 45 a n d 5 0 , two a r e b e t w e e n 40 a n d 4 5 , a n d one i s b e t w e e n 35 a n d 4 0 . T h u s , t h e f a c t t h a t s e r i o u s d i s c l o s u r e d e f i c i e n c i e s e x i s t w i t h i n a l l I n d u s t r i e s a p p e a r s t o w a r r a n t f a r more a t t e n t i o n t h a n do t h e m a g n i t u d e s o f t h e d i s c l o s u r e d i f f e r e n c e s b e t w e e n I n d u s t r i e s . T h e r e f o r e , t h e t h i r d m ai n c o n c l u s i o n o f t h i s s t u d y i s t h a t t h e r e e x i s t s a r e l a t i o n s h i p b e t w e e n i n d u s t r y and e x t e n t o f d i s c l o s u r e , b u t t h e r e l a t i o n s h i p i s n o t o f m a j o r i m p o r t a n c e .
